Description:
1. KEY ACCOUNTABILITIES

Deliver awareness sessions to Large Corporate,SMEs and FI team related to Banking Law and credit facility legal aspects to ensure employees are fully aware of credit facility legal requirements.

Implement approved Credit Documentations, Legal Division manuals and monitor adherence so that work is carried out in a controlled manner in accordance with aforementioned manuals; and the approved SLA.

Supervise / Lead the Corporate,SMEs and FI legal team member(s) ,in accordance with the Business Legal Advising Head instructions ,to implement the day-to day operations assigned for the Corporate/SMEs /FI Section to ensure compliance with the established Credit Documentations, Legal Division manuals ;and SLA.

Comply with all relevant CBE regulations, banking laws, AML regulations and internal EG Bank policies and code of conduct to maintain EG Bank’s sound legal position and mitigate any potential risks

Participates in committees/meetings to express the legal… opinion on all legal matters presented.

Providing legal advice to the Corporate ,SMEs and FI departments in regard to any on hand/ presented legal documents such as commercial registers, account opening documents and forms, checks/PNs, contracts, assignments, collaterals, board of directors meetings, etc.… .

Follow-up on the changes in legislation and regulations/bylaws related directly or indirectly to the bank activities within one week of its publication in the official Gazette, in addition to prepare a briefing memo concerning the aforementioned legislation/bylaw to be sent to the Head of Business Advising Head for approval /feedback.

Reviews/Drafts the complex legal cases related to Corporate/SMEs and FI and work upon resolving them; and do essential legal paperwork, including but not limited to Syndications, Large corporate facility documents, Escrow Agreements, settlement; and rescheduling agreements.

Preparing, drafting and reviewing forms of credit facilities, financing and syndicated loans contracts and their appendices and all their documents and guarantees (transfer of rights – TDs/CDs/Account pledge).

Reviewing all credit facilities contracts, transfer of right and insurance policy documents from a legal point of view, in accordance with the credit approvals, as well as issuing a memorandum on the adequacy of the facilities documents from a legal point of view.

2. QUALIFICATIONS, EXPERIENCE AND SKILLS

Qualifications and Experience:
Bachelor’s degree of Law.

Master’s degree of law will be considered an asset.

8 years of experience in Legal Banking Field, Preferred exposure in Business Legal.

Skills:
Excellent command of English and Arabic languages (written and spoken)

Excellent leadership, decision making and negotiation skills

Excellent communication skills

Excellent planning and organizing skills

Full understanding and knowledge of Business Laws and Regulations related to Banking Sector
