Role : Corporate Governance Manager
Location : Abu Dhabi
Role Purpose:
The Corporate Governance Manager is responsible for supporting the Head of Corporate Governance – UAE in ensuring compliance with Corporate Governance Framework. He/ She will oversee and manage policies, procedures, MI, systems, training, and reporting to ensure efficient administration of the Corporate Governance function in compliance with statutory and regulatory requirements. In addition to overseeing the effective operation of the ADIB Management Committees; the Corporate Governance Manager will work closely with the Board Secretary to support the work of the Board Secretarial Unit (BSU) in implementing decisions taken by the Board of Directors.
Key Accountabilities of the role
• Strategic Contribution
• Support the effective implementation of the Corporate Governance strategy through corporate and leadership initiatives
• Prepare the Quarterly Corporate Governance Report
• Governance & Oversight of… Delegation
• Perform risk and quality management activities including annual assessments and conformance reviews to ensure effective functioning of ADIB Management Committees
• Manage policies and procedures including maintaining custody of the Corporate Governance policies and procedures and overseeing their dissemination for awareness including publication on ADIB Intranet
• Perform comprehensive research on good governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines and develop relevant action plans.
• Develop and oversee a process to ensure the Board Committees and Management Committees comply with all applicable codes in addition to legal and statutory requirements which also includes maintaining accurate documentation and meet legal requirements, such as periodic filing or reports
• Accountability to shareholders In collaboration with the Board Secretarial Unit (BSU):
• Assist BSU in compliance with the requirements of the Memorandum and Articles of Association of ADIB and ensure compliance with the Commercial Companies Law with matters related to the Board of Directors and their responsibilities.
• Assist BSU in compliance the requirements of the CBUAE Corporate Governance Regulations and SCA requirements
• Assist BSU in reviewing ADIB’s Articles of Association and any by-laws as required to ensure their continued adequacy and relevance, in order to provide recommendations to the Board – through General Counsel- on necessary revisions.
• Assist BSU in administration of the Code of Conduct and Conflict of Interest Guidelines for Directors and coordinate in preparing ADIB disclosures.
• Functional Collaboration
• Support the BSU as and when needed to ensure effective support is provided to enable the Board to discharge its roles and responsibilities
• MI Reporting
• Develop KRIs and collate relevant MI to ensure that KRIs are within risk appetite. Concise reporting using MI dashboards
• Training and Awareness
• Support the Head of Corporate Governance, UAE in compiling and executing the Annual CG Training Plan and to maintain a record of trainings
• Maintain and updated Directors’ Induction pack / Handbook.
• Assist the Head of Corporate Governance UAE with respect to disseminating communications on the duties and responsibilities of Board of Directors.
• Facilitate the orientation and ongoing education of Directors and Senior Management team during onboarding.
• Regulatory Change:
• Perform gap assessments of relevant regulations to assess the impact on Corporate Governance Department and evaluate and assess the residual actions required to achieved full compliance.
Specialist Skills / Technical Knowledge Required for this role:
• years of experience, MBA or equivalent in Law or Finance
• Integrity and confidentiality.
• Experience / knowledge of processes, policies and frameworks of publicly listed companies
• Good senior stakeholder management abilities including influencing, negotiating and presentation skills
• Knowledge of UAE customs, laws and regulations
• Analytical skills – good understanding of statistical analysis and familiarity with basic research methods
• Knowledge of GRC or Corporate Reporting systems / portals
• Strong peer inter-managerial communication skills, in particular a good command of the English language
• Excellent organizational and time-management skills.
