CME 5-A is the Capital Market Authority’s mandatory technical examination for people being registered as corporate finance professionals in Saudi Arabia. It is set with the Chartered Institute for Securities & Investment, and the paper is CISI’s **Corporate Finance Technical Foundations**: 50 multiple-choice questions in 60 minutes, pass mark 35. The first three elements — quantitative analysis, capital structure and business valuations — are 34 of the 50 marks, and sixteen of the learning objectives ask you to calculate, apply or analyse rather than recall. This is not a paper you can prepare for by reading definitions. Our course covers all five elements while concentrating your study time where the marks are.

## What the CME 5-A examination is

The CMA qualification framework separates the technical knowledge required for corporate finance work from the Saudi rules governing that work. Each numbered examination comes in two halves. CME 5-A is the technical half, and it is the specialist paper for corporate finance — candidates registering in this function sit it instead of the general CME 1-A entry paper.

It is written in an international context: CISI’s own sample paper for this unit asks about AIM admission documents, UK statutory filing deadlines and Listing Rules discount limits, in sterling. Everything from the CMA rulebook belongs to the B paper.

## Who needs CME 5-A in Saudi Arabia

The Financial Academy states that passing both the Corporate Finance Technical Foundations examination and the Saudi Capital Market Rules and Regulations (Corporate Finance) examination is required of everyone being registered to perform the corporate finance professional function at a capital market institution.

That commonly includes candidates working in or moving toward:

- Corporate finance and financial advisory teams
- Mergers, acquisitions, disposals and transaction execution
- Initial public offerings, secondary offerings and other equity capital markets work
- Debt financing, capital structure and refinancing assignments
- Business valuation, financial modelling and transaction analysis
- Private equity, venture capital and management buyout work where the registrable function follows the corporate finance pathway
- Transaction documentation and deal-support functions
 
The exact examination combination depends on the function your employer intends to register you in, so confirm it with your compliance department, the CMA or the Financial Academy before paying. The Financial Academy lists no prior certificate, compulsory training programme or other entry requirement for registering, and the examination is open to Saudis and non-Saudis alike.

Outside the Saudi registration framework, the same paper is Unit 2 of the CISI Level 3 Certificate in Corporate Finance, taken by corporate finance practitioners internationally. Our English and Arabic courses prepare you for the paper either way.

## What the CME 5-A syllabus covers

Five elements. The Financial Academy publishes the weighting of each as a percentage; because the paper is 50 questions, each percentage point is half a question, so the weightings convert cleanly into the question counts in CISI’s own examination specification — the edition effective from 11 April 2026.

Corporate Transactions 22% 11 Acquisition and disposal types; private equity risk and behaviour; MBO, MBI, LBO, LBI, BIMBO, IBO and public-to-private structures; ratchets, hurdles, drag and tag, carried interest, mezzanine and the rest of the transaction vocabulary; prospectuses, IPO adviser roles, due diligence, book-building; secondary offerings, clawback and the theoretical ex-rights price.   5. Corporate Finance Documentation 10% 5 NDAs, engagement letters, warranties and indemnities, disclosure letters, vendor protection and shareholders’ agreements; information memoranda, letters of intent, exclusivity, comfort and hold harmless letters, sale and purchase agreements; term sheets, loan agreements, conditions precedent and inter-creditor arrangements; verification notes and expert reports.    The paper is concentrated. Elements 1 to 3 are 34 of the 50 questions, and element 1 alone is 15. Divide your time equally across the five and you have underspent on more than two thirds of the marks. Element 5 is worth five questions and is pure vocabulary — what each document does and when it appears — so it rewards a short, well-organised revision pass late on rather than early reading time. Any element can move by up to two questions between papers.

The second thing to plan for is that this paper calculates. Sixteen learning objectives ask you to calculate, apply or analyse: cash flow available for debt service; margin, ROCE, return on equity and liquidity ratios; debt to equity, net debt to EBITDA and interest cover; earnings per share, diluted EPS, historic and prospective P/E, EV/EBIT, EV/EBITDA, dividend yield and dividend cover; variance, standard deviation and covariance of returns; yield to maturity; cost of debt; the present value of a three-year bond; cost of equity through CAPM; WACC; equity and enterprise value; price to book; NPV and IRR; the dividend discount model; and the theoretical ex-rights and nil paid rights prices. The syllabus opens by telling candidates to make sure they can drive a calculator well enough to do this work. Element 5 is the only element with nothing to compute in it.

CISI publishes an official 50-question sample paper for this unit, and it is the best free evidence of what that means in practice. By our count thirteen of its fifty questions require you to compute something, and its answer key maps every question to the exact syllabus learning objective it was written against — which makes it a diagnostic rather than just a rehearsal. It also shows where the reading of the syllabus has to be careful: the learning objective asks for covariance, and the sample paper asks for a correlation coefficient built from it.

One structural change is worth knowing before you buy material anywhere. CISI merged what used to be two separate chapters — quantitative methods and financial statements analysis — into the single element 1 above. The Financial Academy publishes downloadable study material for CME 5-A in English and Arabic on the official examination page. Prepare from that current material rather than an older workbook whose title looks similar, and confirm what your registration includes when you book.

The fee is recoverable through the Human Resources Development Fund’s Hadaf platform, but only on the completed qualification: the Financial Academy states that support requires passing both CME 5-A and CME 5-B, completing the requirements for the professional certificate, and submitting that certificate. Passing one paper alone is not described as sufficient.

### Booking the same paper outside Saudi Arabia

If you are sitting Corporate Finance Technical Foundations with CISI rather than through the Financial Academy, the arrangements differ. From the CISI price list covering 1 April 2026 to 31 March 2027, the UK exam fee is £245 with the mandatory workbook at £105, or £365 for a first international sitting with the workbook included. A resit within the same syllabus version is £245, and a one-off £68 registration fee applies if this is your first CISI qualification. ## How to plan 80 hours of CME 5-A study

Eighty hours is the Financial Academy’s estimate for the material. Two schedules that reach it:

- **Eight weeks** at around 10 hours a week
- **Ten weeks** at around 8 hours a week
 
These are our suggestions, not CMA or Financial Academy rules. Whichever you pick, allocate the 80 hours by mark weight rather than by element number:

1. **Quantitative analysis — about 24 hours.** Read the three financial statements first and the ratios second; a ratio you can name but cannot locate in a set of accounts is a mark you will lose. Do not move on while you are still confusing enterprise value with equity value, or profit with cash flow.
2. **Capital structure — about 18 hours.** Build from the ranking and characteristics of equity and debt into bond values, CAPM and WACC. These are formulae, so they need repetition rather than reading.
3. **Business valuations — about 13 hours.** The smallest technical element, but it pays off the previous two at once: earnings multiples come from element 1, discount rates from element 2. Take it directly after them and it costs half the time. Compare the methods rather than learning them in isolation — the paper can ask which method suits a business before asking you to apply it.
4. **Corporate transactions — about 18 hours.** Cover acquisitions, private equity and quoted transactions as separate blocks, then connect them through funding, control and dilution. Learn the buy-out acronyms as a set rather than one at a time.
5. **Documentation — about 7 hours.** Learn each document by its purpose, the parties using it and the point in the transaction where it appears.
 
Leave time at the end for timed mixed sets across all five elements, then go back to anything scoring below 70%. English-course students should start the practice questions after finishing the first element rather than waiting until the syllabus is complete, and review every wrong answer against the matching official section. Book the examination once you are repeatedly clearing 80% on mixed sets rather than after touching 70% once; the margin covers unfamiliar wording and exam-day pressure.

The Arabic course does not include a question bank, so Arabic-course students should reserve part of the 80 hours for independent recall and calculation drills, and work CISI’s sample paper under timed conditions. Do not count watching a lecture twice as testing: close the material, reproduce the method and check whether you reach the answer unaided.

## How to use the course with the official material

The Financial Academy’s current study material is the examinable source for candidates registering through the Saudi route. Our course adds guided lectures, revision slides, worked methods and trainer support so you can work through that material systematically and find the elements that need more revision.

1. Watch the recorded lecture for the element.
2. Read the matching section of the current official material.
3. Rework the ratios, valuation methods and transaction calculations by hand, without looking at the example.
4. **English course:** answer that element’s practice questions. **Arabic course:** run a closed-book recall check and calculation drill instead, since there is no question bank.
5. Return to anything you answered incorrectly, guessed, or could not calculate inside the time available.
 
Do not prepare from an old CME 5 PDF or an outdated Corporate Finance Technical Foundations workbook found online. Element names can look familiar while the structure, terminology and learning objectives have moved on — this unit went from six chapters to five. Expect questions that draw on more than one element at once: a valuation question can turn on an EBITDA figure you have to read out of a cash flow statement in element 1 and a discount rate you have to build in element 2. That is why working the calculations matters more than re-reading them.

### Is CME 5-A the same examination as CISI Corporate Finance Technical Foundations?

Yes. CME 5-A is the CMA and Financial Academy designation for CISI’s Corporate Finance Technical Foundations unit, and CISI is named as the examination provider. The Financial Academy’s published chapter weightings match CISI’s examination specification exactly — 30%, 22%, 16%, 22% and 10% against 15, 11, 8, 11 and 5 questions. If you are sitting in Saudi Arabia you register through the Financial Academy, not through CISI’s own examination shop.

### Is CME 5 the same as CME 5-A?

No. CME 5-A is the technical half. The complete CME 5 professional certificate also requires the Saudi Capital Market Rules and Regulations (Corporate Finance) examination, CME 5-B, which is set by the Financial Academy rather than CISI.

### Does Tadawul Academy offer CME 5-B?

No. We offer CME 5-A preparation in English and Arabic. We do not offer a CME 5-B course, and the same applies to the other B papers — our courses cover the A papers only.

### What is the difference between CME 5-A and CME 5-B?

CME 5-A tests technical corporate finance: financial analysis, financing, capital structure, valuation, transactions and documentation, in an international context with no Saudi regulation in it. CME 5-B tests the Saudi rules applying to corporate finance work — offering rules and continuing obligations, special purpose entities, mergers and acquisitions, and corporate governance. You need both for the certificate and for registration in the corporate finance function.

### Does the Arabic course include practice questions?

No. The Arabic CME 5-A course provides the recorded lectures, revision material and worked calculations without a question bank. The English course includes multiple-choice practice questions organised by element. If practising questions matters to you and you are comfortable sitting the paper in English, take the English course; if you are studying in Arabic, plan your own recall and calculation testing and work CISI’s official sample paper under timed conditions.

### How much does the CME 5-A examination cost?

SAR 1,950, paid to the Financial Academy when you register, and separate from our course price. CME 5-B is a further SAR 1,700, so the complete CME 5 certificate costs SAR 3,650 in examination fees. ### Where can I find the official CME 5-A study material or PDF?

On the Financial Academy’s examination page for CME 5-A, which carries current Arabic and English material. Use that rather than an older copy hosted on another website — the chapter structure changed in the current edition, and six-chapter material is out of date.

### Do I need to buy a workbook as well as this course?

On the Saudi route, use the current English or Arabic study material published on the Financial Academy’s CME 5-A page, and confirm what your registration includes when you book. Our course supports that material rather than replacing it — it adds lectures explaining the harder elements, worked calculations and slides to revise from. Candidates booking the same unit with CISI outside Saudi Arabia should follow CISI’s own workbook policy, under which the workbook is a mandatory purchase with the examination.

### Can I sit CME 5-A in Arabic?

Yes. The Financial Academy offers the examination in Arabic and English and publishes the study material in both, and we offer separate Arabic and English courses. Pick one and study in it — the calculation questions in particular are harder if you learned the terms in one language and answer them in another.

### Are there any prerequisites?

The Financial Academy lists no previous certificate, compulsory training programme or other prerequisite for registering. Your employer may still set its own experience or education requirements, and an accounting or finance background makes element 1 considerably faster.

### How long should I study for CME 5-A?

Around 80 hours is the official estimate — eight weeks at 10 hours a week, or ten weeks at 8. Candidates who have not read a set of financial statements before, or who are new to WACC, discounted cash flow and rights issues, should allow more calculation practice.

### Do I sit CME 1-A as well?

The Financial Academy lists corporate finance professionals among the functions that sit their own technical paper instead of the general CME 1-A entry examination. Confirm your own combination with your employer’s compliance function or with the Financial Academy, because it follows the exact registrable function you are being registered for.

### Do I need CME 5-A if I passed an older CMA qualification examination?

The CMA states that everyone who passed its previous qualification examinations remains eligible for registration in their registrable function without taking the new examinations. If you are unsure which side of that line you fall on, confirm it with the CMA or your employer’s compliance function before paying for anything.

### Does this course include live classes?

No. Everything is recorded and self-paced. For questions on the material, use the Ask the Trainer section and you will get a written answer.

### How quickly is my account activated?
